Membership Agreement Overview (see also the Terms of Use)
This overview is provided for convenience purposes only and does not supersede the Membership Agreement.
Members may:
- contribute content to the Website in different ways;
- use content that other Members post to the Website, and vice versa, as long as attribution is given; and
- use the “Report Abuse” buttons available on each webpage to notify the administrators of inappropriate uses of the Website.
Member may not:
- post vulgar, threatening, libelous, misleading or otherwise inappropriate material of any kind;
- use any content that was not originally posted to the Website by a Member using a Member account. This includes all non Member-created text, graphics, photographs, logos and other content that appear on the Website;
- use the Website, or the information contained on the Website, to disseminate advertisements or “spam.”;
- make statements regarding corruption, mismanagement, malfeasance or any other activity that would fall within the scope of oversight of the Global Fund Inspector General. For more information on the Inspector General’s role, please click here; and
- hold the Global Fund responsible for any damages that the Member may incur as a result of using the site.
Other Important Points:
- the Global Fund is not responsible for the accuracy of the information that Members post to the Website, and is not responsible for monitoring the areas of the Website containing Member-created postings, such as the blogs and the forums; and
- although the Global Fund’s interventions on the Website will generally follow the MyGlobalFund Community Standards ([link]), the Global Fund may delete any content or information from the Website at its sole discretion.
MyGlobalFund.org – Membership Agreement
This is a Membership Agreement between the Global Fund to Fight AIDS, Tuberculosis and Malaria (the “Global Fund”), and the Website Visitor who wishes to register as a member (the “Member”). The Member agrees to be bound by the following terms:
Proprietary Rights
The Global Fund hereby reserves sole proprietary rights over all Website content that was not originally created by Members. This includes logos, interface elements and all non Member-created text, graphics, photographs and other works that appear on the Website. The Global Fund also reserves proprietary rights over the Website’s template, including its layout and structure.
Member Submissions
The Member agrees to license all blog entries, messages, comments, pictures, media files and all other content posted to the Website by Members (collectively “Member-created Content”) to the Global Fund and to Website Visitors under the basic terms of a Creative Commons Attribution 2.5 Switzerland License. Under this License, the Member permits the Global Fund and Website Visitors to use Member-created Content, in whole or in part, in its original or modified form, as provided for in this License. These uses may include, but are not limited to, educational efforts, outreach, fundraising, and internal uses. The Global Fund agrees to attribute Member-created content to its original creator whenever possible. The Global Fund reserves a right of rectification and deletion of all Member-created content at its sole discretion.
Personal Information
The Global Fund reserves the right to use the Member’s submitted personal information in order to tailor the Website to the Member’s specific needs, offer information that may be of interest to the Member, and for internal analysis and other institutional purposes. The Member maintains a right of rectification with regard to personal information and may modify or delete their personal information, in whole or in part, at any time. The Global Fund reserves the right to use Member-created content for institutional purposes after the Member has deleted all personal information. In such a case, no attribution of authorship shall be given. Deletion of personal information does not entitle the Member to be removed from any other database or list that the Global Fund may maintain for institutional purposes.
Disclaimer of Warranties
The Member agrees that the use of this Website is at Member’s own risk, and that the services are provided on an ‘as is’ and ‘as available’ basis. The Global Fund makes no warranty that the site will meet the Member’s individual needs, or that service will be timely, uninterrupted, secure or error-free. The Member understands that any information or data downloaded through the Website is done at the Member’s sole risk, and that the Member will be responsible for any damage or loss of data that may occur due to information or data obtained through the Website. The Member acknowledges that the Global Fund is not responsible for monitoring Member-created content, and waives all rights to bring any claim against the Global Fund for a cause of action that may arise out of the Member’s use of the Website.
Member Conduct
The Member agrees to use the Website in accordance with the MyGlobalFund community standards, available here ([link]). The Member agrees not to use the Website, or the information contained on the Website, to post any vulgar, threatening, libelous or otherwise inappropriate material of any kind. The Member also agrees not to use the Website to disseminate advertisements for commercial services or “spam.” Additionally, the Member agrees not to make allegations of corruption, mismanagement, malfeasance or any other activity that would fall within the scope of oversight of the Global Fund Inspector General. This clause specifically, but not exclusively, protects Global Fund employees, Principal Recipients, Sub-recipients, members of Country Coordinating Mechanisms and others affiliated with the organization from allegations of professional misconduct. The Global Fund reserves the right to delete or edit any Member-created content that violates this clause at its sole discretion.
Misrepresentation
The Member agrees to make accurate and honest representations when posting content to the Website. The Member agrees not to implicitly or explicitly make misrepresentations regarding their identity, occupation, education, level of experience, gender, race, age or nationality, or to post any other misleading or inaccurate information on the Website. The Member acknowledges that violating this provision of the Agreement will result in immediate termination of the account, removal of the offending posting(s) and the possibility of further legal action.
Termination Clause
The Member acknowledges that The Global Fund may terminate the Member’s account and access to the Website at its sole discretion without prior notice. The Global Fund may also delete any and all information on the Member’s account, and may bar further access to such information.
Dispute Settlement
Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof shall be settled by arbitration in accordance with the United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules. The Global Fund and the Member agree to be bound by the arbitration award rendered as a final adjudication. The appointment authority of such arbiter shall be the International Chamber of Commerce International Court of Arbitration. The number of arbitrators shall be three. The place of arbitration shall be Geneva, Switzerland. The language used in the arbitral proceedings shall be English. Nothing in this Agreement shall be deemed a waiver of any of the privileges and immunities of the Global Fund.
Applicable law
This Agreement shall be governed by the UNIDROIT Principles (2004).
Indemnification Clause
The Member agrees to indemnify The Global Fund, and its agents, affiliates and partners against any and all third party claims and suits that arise out of content that a Member posts to the Website.
Disclosure of Information
The Global Fund reserves the right to disclose any Member information, including personally identifiable information, when required by law or when otherwise necessary to protect the property, rights, or safety of ourselves, visitors to the Website, or other persons.
Language
The official, legally enforceable language of this document shall be English. Any question of interpretation shall be resolved based on the English version of this Agreement and the Member agrees that this agreement be drafted exclusively in the English language.
Amendments
The Global Fund may amend this Agreement at any time, and such amendments will be effective immediately upon notice being provided to the Member. Notice may be provided on the Website itself, and after posting of the notice, The Member’s continued use of the Website will be deemed as acceptance of the modified Agreement.
